Our ability to deliver services may depend on receiving accurate information, access, and approvals from the client within the agreed timeframe.
2. Payment and Billing
Service fees and payment terms will be communicated before the commencement of a project. Clients are expected to follow the payment schedule agreed upon in the relevant proposal or service agreement, which may include advance payments, monthly payments, retainers, or milestone-based billing. If payments become overdue, Apex SEO may pause or suspend services until outstanding amounts are settled.
3. Client Cooperation
Effective digital marketing requires timely cooperation from the client. You agree to provide the website access, account credentials, business information, content, brand materials, and other resources reasonably required to perform the agreed services. Delays resulting from unavailable access, incomplete information, or delayed feedback may affect project schedules and deliverables.
4. Scope and Revisions
Services will be provided according to the scope specified in the applicable project agreement. Work requested beyond the agreed scope may require a revised quotation or additional charges. Where revisions are included, the number and nature of revisions will depend on the terms established for the particular project.
5. Termination and Refunds
Either party may end a service arrangement in accordance with the termination conditions stated in the applicable agreement. Fees for services already completed, work in progress, or committed resources may remain payable following termination. Refund eligibility, where applicable, will be determined according to the relevant service agreement and payment terms.
6. Ownership of Deliverables
Ownership of eligible final deliverables created specifically for a client will transfer to the client after all applicable invoices have been paid in full, unless otherwise stated in the project agreement. Apex SEO may retain ownership of its pre-existing materials, processes, methodologies, templates, tools, and know-how. We may also reference completed work in our portfolio unless otherwise restricted by a written confidentiality agreement.
7. Performance Disclaimer
SEO and digital marketing results can be influenced by search engine algorithms, competition, market conditions, website changes, and third-party platforms. Apex SEO applies recognized industry practices but does not guarantee specific search rankings, traffic levels, leads, conversions, or revenue. Changes made by search engines or other platforms may affect performance beyond our control.
8. Limitation of Liability
To the extent permitted by applicable law, Apex SEO will not be responsible for indirect, incidental, special, or consequential losses resulting from the use of our services or website. This may include loss of profits, revenue, data, opportunities, or business interruption. Any applicable liability will be limited to the amount paid for the specific service giving rise to the claim, subject to the terms of the relevant agreement.
9. External Services
Our work may involve third-party platforms, software, plugins, hosting providers, analytics tools, advertising platforms, or other external services. These services are operated independently by their respective providers. Apex SEO does not control their availability, functionality, policies, pricing, security, or performance and cannot be held responsible for issues arising from their operation.
10. Governing Law
These Terms and Conditions will be interpreted and governed by the applicable laws of India. Any dispute arising in connection with these terms or our services will be subject to the jurisdiction of the competent courts in Bangalore, Karnataka, unless otherwise agreed in writing.
